TEXT A

Building a Business

Suppose you have decided to join the ranks of business owners. What are your chances for success? You may have heard some depressing

statistics about the number of new companies that fail. Some reports say your chances for success are only one in three. However if you decided to take the risk there are several ways to get into business.

Youcanstartfromscratch1,buyanexistingfirmorobtainafranchise. Starting from scratch is the riskiest and the most difficult option. Try to reduce the risk by choosing a field where you have an advantage based on experience, interests, knowledge or contacts. If possible work for a while in a business similar to the one you hope to start. Do plenty of researchtotestyouridea.Discussyourplanwithalawyer, anaccountant, a banker.

Buying an existing business reduces the risks considerably. When you buy a business you don’t have to go through the painful period of building a reputation, establishing a clientele and training employees.

Obtaining a franchise is another alternative. The franchiser’s name, product and system are already established. Although good franchises are generally very expensive, your chances for success are excellent.

Once you have identified a promising opportunity, you need to decide on the form of business you will use. You can choose a sole proprietorship, a partnership or a corporation.

A sole proprietorship is a business owned by just one person. It has a number of advantages. It is the easiest form of business to start with limited funds. All you have to do to start a sole proprietorship is to open your doors and start selling your goods or services. Its second advantage is independence. You work for yourself. You can make your own decisions and see directly the results of your efforts and keep all the profits. Secrecy is another benefit of sole proprietorship. You don’t share your plans with anyone. The main disadvantages of sole proprietorship are limited profit potential and starting resources.

A partnership is a legal association of two or more persons as coowners of a business. Like proprietorships, partnerships are easy to form. But a partnership has greater profit potential than a proprietorship. Among the disadvantages of partnership are interpersonal and management problems.

A corporation is a legal “person” and it is owned by shareholders. Of all the forms of business ownership it is by far the most significant in termsofmoney, sizeandpower.Becausecorporationshavemanyowners

they have a special organizational structure. In a newly formed corporation the shareholders elect a board of directors which may have from 3 to 35 directors. The board has the power to vote on management decisions butmostoftenitsimplyapprovestheirrecommendations. The realpower in a corporation often lies with the chief executive officer, or CEO, who is responsible for establishing the policies of the company. No other form of business ownership can compare with corporation in bringing together money, resources, talent and creating wealth.

The best form of business depends on your circumstances: your financial situation, the type of business you’re starting, the number of employees, the risks involved and your tax position.

Notes:

1 to start from scratch – начать с нуля.
