Agreement shall be binding upon and inure to the benefit of the permitted successors and assigns of the parties hereto.

13. Force Majeure

Notwithstanding any provision to the contrary herein, neither party hereto shall be liable to the other party for any delay or interruption in performance of any obligation hereunder resulting from governmental orders, regulations, labor strikes or disturbances, acts of God, fires, floods, explosion or other cause beyond the reasonable control of such party.

14. Entire Agreement

This Agreement, in the English language, contains the entire Agreement between the parties and may not be modified except in writing signed by both parties. Headings used in this Agreement are for convenience only and shall not affect its interpretation.

15. Noncompetition and Nondisclosure

During the term of this Agreement and for a five (5) year period after the termination hereof, CRMIE shall not act either directly or indirectly, as an agent or consultant of any person (corporate or otherwise) sell, lease, distribute, manufacture, own, or operate any Equipment or Services that competes with Equipment or Services the same or similar to XXX’s within the The Approved Territory. CRMIE further agrees to provide its best efforts to ensure that any CRMIE employees, agents, representatives or affiliates that are leaving CRMIE follow the same non-compete / nondisclosure criteria as described.

CRMIE further agrees that at no time during the term of this Agreement or thereafter will it disclose directly or indirectly to any person any Confidential Information of XXX. For the purposes of this Agreement the term “Confidential Information” shall mean any information or knowledg e possessed by it that is confidential and commercially valuable, whether or not it constitutes a trade secret under applicable law, including without limitation:

a. all information concerning intellectual property, manufacturing processes, technology, methods, products and product specifications, software,

inventions, research, development, employees, customers, suppliers, operations,

results of operations, prices, costs, or financial condition;

b.non-public plans for new or existing services, marketing, distribution and selling, or information regarding business plans, budgets, financial projections, forecasts, or estimates;

c.any and all information from third parties to be held and used by XXX as confidential or on any other restricted basis; and

d.all information previously provided to either party from the other.

Such information may be contained in any form or medium and may or may not be designated or marked “confidential” or t he like. Confidential Information will not include any information that either party can demonstrate:

a.is or becomes available to the public through no breach of this Agreement;

b.was previously known by either party without any obligation to hold it in confidence;

c.is received from a third party free to disclose such information without restriction; or

d.is independently developed by the other party without the use of Confidential Information of either XXX or CRMIE.
