1.4. The Client shall pay the Agency cost of performed work according to the present Attachment.

2. Cost of the Attachment

2.1. Total cost of present Attachment equals to 1245,73 (One thousand two hundred forty five and 73/100) USD, including VAT 18% in the amount of 190,03 (one hundred eighty and 03/100) USD.

2.1.1.The fee for transferring the copyrights specified in the Subject of this Contract comes to 1050, 25 (One thousand fifty and 25/100) USD, included VAT 18% - 160, 21 (One hundred sixty and 21/100) USD and tax on revenue 20% 178, 25 (one hundred seventy eight and 25/100) USD.

2.1.2.Agency commission for concluding this task equals to 216,77 (Two hundred sixteen and 77/100) USD including VAT18% 33,07 (thirty three and 07/100) USD.

3. Manner of Payment

3.1. The Client shall pay the Cost of the Attachment not later than March 26th, 2010. The payment is to be carried out in RUR at the rate of the date of the payment. The day of fulfilling the Client’s obligation to pay shall be the day of placing of money on the correspondent account of the Agency’s bank. The invoices shall be issued in accordance with provisions of the Contract.

4. Term

4.1. The works specified in the clause 1.1 of the Attachment shall be fulfilled not later than 22nd of March, 20__.

The Parties have agreed single delivery of works upon their definitive performance according to the procedure defined in Clause 2.5 of the Agreement.

5. Intellectual property

5.1. The Executor transfers to the Client exclusive copyrights to use the TVC without mentioning the name of its authors, actors and producer (anonymous usage) by the following means:

• to reproduce the TVC;

• to disseminate the TVC;

•to show the TVC in public;

•to perform the TVC in public;

•to communicate the TVC in the air;

•to communicate the TVC by cable;

•to translate or rework the TVC in any ways.

The exclusive intellectual property rights to use the TVC specified in this paragraph, are assigned to the Customer for the period from the 22 of March, 20__ whole period of validity of the exclusive right in all media within the territory of RF.

6. Other Provisions

6.1.Present Attachment comes into force from the moment when it is signed by the Parties and shall be the integral part of the Agreement.

6.2.This Attachment is executed in two (2) copies in Russian and in English languages. In the event of any discrepancy between the language of the Russian and the English version, the Russian version shall prevail.
